Terms and Conditions

These Terms and Conditions (“Terms”) govern access to and use of the Zittle platform and services (the “Service”), provided by Zittle Technologies Private Limited (“Zittle,” “we,” “us,” “our”), available at hotels.zittle.in. By signing up for, accessing, or using the Service, you (“Client,” “you,” “your”) agree to be bound by these Terms.
If you do not agree, do not use the Service.
1. The Service
Zittle is an AI-powered financial operating system for hospitality businesses. The Service includes:
- Reconciliation of revenue against actual cash received across payment sources (OTAs, POS, cash, B2B, and others)
- Identification of discrepancies, missing settlements, and timing gaps
- GST record-keeping and filing support
- Income tax return (ITR) filing support
- Integration with your existing accounting software (e.g., Tally, Zoho Books) as an analytical and automation layer, not a replacement
Current delivery model
Zittle is currently delivered as a managed service: our team (directly or through partner professionals, including chartered accountants where applicable) performs elements of this work using AI-assisted tools on the backend, while the underlying software matures toward fuller automation. The scope of what is automated versus manually delivered may change over time as the product develops, and we will communicate material changes to how your service is delivered.
2. Eligibility and Account Registration
You must be a registered business (or authorized representative of one) to use the Service. You are responsible for:
- Providing accurate business, tax (GSTIN/PAN), and billing information
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
3. Client Responsibilities
Because our current service model relies on you submitting source documents and connecting data sources, you agree to:
- Provide timely and accurate access to required data sources (bank accounts via Account Aggregator consent, OTA logins, POS exports, email access, accounting software access) as needed for the Service
- Submit requested documents (invoices, statements, receipts) promptly and completely
- Promptly notify us of any inaccuracies you identify in reconciliation, GST, or tax outputs
- Ensure you have the right to share any data or documents you provide to us, including data relating to your staff or guests
Delays or gaps in the information you provide may delay reconciliation, GST filing, or ITR filing outcomes, and Zittle is not liable for consequences arising from incomplete or late information from you.
4. Fees and Payment
- Pricing is based on a per-room, per-month rate, billed annually in advance, as set out in your order form or subscription agreement.
- All fees are exclusive of applicable taxes (including GST), which will be added as required by law.
- Fees are non-refundable except as expressly stated in your order form or as required by law.
- We may change pricing on renewal with reasonable advance notice.
- Non-payment may result in suspension or termination of the Service.
5. Data Access and Third-Party Integrations
You authorize Zittle to access and process data from the third-party sources you connect (banks via Account Aggregator, OTAs, POS, PMS/channel managers, accounting software, email) solely to provide the Service. You may revoke any connection at any time, understanding this may limit or disable parts of the Service. Zittle is not responsible for outages, errors, or changes in third-party platforms (e.g., an OTA or bank changing its API) that affect data availability.
6. AI-Assisted Processing and Human Review
Parts of the Service use AI models to reconcile, categorize, and flag financial data. Where GST or ITR filings are involved, outputs may be reviewed by our team or partner chartered accountants before filing. You remain responsible for the accuracy and completeness of statutory filings made on your behalf, and we will seek your review and approval before any filing is submitted where required by law.
7. Intellectual Property
Zittle retains all rights, title, and interest in the Service, including all software, models, workflows, and underlying technology. You retain all rights to your business data. We do not claim ownership of your data; we use it only to provide the Service and, in aggregated/de-identified form, to improve our models and product (see Privacy Policy).
8. Confidentiality
Each party agrees to keep the other’s confidential business and financial information confidential, and to use it only for purposes related to the Service, except where disclosure is required by law.
9. Term and Termination
- These Terms remain in effect for the duration of your subscription.
- Either party may terminate for convenience with 30 days’ written notice, subject to any minimum term in your order form.
- We may suspend or terminate the Service immediately if you breach these Terms, fail to pay fees due, or misuse the Service.
- Upon termination, we will provide a reasonable window to export your data, after which it will be handled per our data retention policy (see Privacy Policy).
10. Disclaimers
The Service is provided “as is.” While we take care to ensure accuracy in reconciliation, GST, and tax-related outputs, Zittle does not guarantee that outputs will be error-free at all times, particularly where third-party data sources are incomplete, delayed, or inaccurate. Zittle is not a substitute for independent legal, tax, or financial advice, and you remain responsible for the accuracy of your statutory filings.
11. Limitation of Liability
To the maximum extent permitted by law:
- Zittle’s total liability arising from or related to the Service shall not exceed the fees paid by you in the 12 months preceding the claim.
- Zittle is not liable for indirect, incidental, consequential, or punitive damages, including lost profits or lost data, arising from use of the Service.
- Nothing in these Terms limits liability for fraud, willful misconduct, or any liability that cannot be excluded under applicable law.
12. Indemnification
You agree to indemnify and hold Zittle harmless from claims arising out of your breach of these Terms, your misuse of the Service, or your violation of applicable law, including in relation to data you provide.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Hyderabad, India, or resolved through arbitration in Hyderabad under the Arbitration and Conciliation Act, 1996, as the parties may agree in their order form.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes with reasonable advance notice. Continued use of the Service after changes take effect constitutes acceptance.
